How to Upload Documents To Your Offering

Instructions for uploading documents to your offering.

The first four documents are required in order to complete the onboarding process.


Subscription / Purchase Agreement and Signature Pages should not be prefilled with investor information as documents are presented to all investors that are invited to this offering.


With the investor's approval, Alto will provide an e-signature on the signature pages on behalf of the investor's IRA. This executed document will be available for you to download once the investment has been approved and funds have been sent.


Offering Documents 1 - 3 (Required): 


The first three required documents will vary based on the entity and security type selected in part 1 of the onboarding process. The table below* demonstrates the three required documents:

*Note: the required documents will vary from above if promissory note is chosen as the security type.  
    • Subscription / Purchase Agreement: A formal agreement between a company and an investor to buy shares of a company at an agreed-upon price (source).
    • Articles of Incorporation: the documents filed with a government body (usually the state) that signifies the creation of a corporation (source).
    • Articles of Organization: part of a formal legal document used to establish a limited liability company (LLC) at the state level. The materials are also used to create the rights, powers, duties, liabilities, and other obligations between each member of an LLC and also between the LLC and its members (source). 
    • Certificate of Limited Partnership: means a Certificate signed on behalf of the Partnership by a General Partner evidencing the interest of a Limited Partner, including the Assignor Limited Partner on behalf of the Unitholders, in the Partnership (source). 
  • Bylaws: legal documents that organizations use to define the legally binding rules a corporate or nonprofit board of directors uses to operate (source).
  • Operation Agreement: document that customizes the terms of a limited liability company according to the specific needs of its members. It also outlines the financial and functional decision-making in a structured manner (source). 
  • Limited Partnership Agreement: agreement outlines the rights, responsibilities, and expectations of each partner (source). 

Signature Pages (Required): 


The Alto “signature pages” are a collection of required documents that Alto, as your investor’s IRA custodian, will execute. Please collect all pages that require our custodial action and place them in a single PDF document for upload.
